Platform Provider:
Petique Labs LLC, a company incorporated in the State of Wyoming, United States of America, with its registered address at 30 N Gould St, Sheridan, WY 82801. (“Platform Provider”, “we”, “our”, “us”)
Affiliate:
The party accepted into the Megaspinz Affiliate Program (“Affiliate”, “you”, “your”).
Summary
Petique Labs LLC operates the Megaspinz Affiliate Program for the purpose of promoting and acquiring new customers for the sweepstakes casino brand Megaspinz (https://www.megaspinz.com).
Affiliates are independent marketing partners who, through approved promotional methods, refer new users to Megaspinz and earn commission based on Qualified Referred Customers.
By registering for the Megaspinz Affiliate Program, you agree to be bound by these Terms & Conditions.
1. Definitions and Interpretation
Affiliate Website(s):
Any website, social media channel, email, or digital property owned or controlled by the Affiliate, used to promote Megaspinz.
Affiliate Guidelines:
Written policies issued by the Platform Provider outlining approved marketing practices, brand usage, creative limitations, and compliance obligations.
Affiliate Tracking Link:
A unique hyperlink provided by the Platform Provider that tracks referred traffic and user registrations.
Commission:
The payment earned by the Affiliate for each Qualified Referred Customer, as defined in the Affiliate Offer or individual agreement (CPA, Revenue Share, or other).
CPA (Cost Per Acquisition):
A fixed, one-time commission for each Qualified Referred Customer.
Revenue Share (Rev Share):
An ongoing percentage of the revenue generated by Qualified Referred Customers.
Gold Coins (GC) and Sweeps Coins (SC):
Virtual currencies used within the Megaspinz platform. GC are for entertainment purposes only. SC can be used to play for prizes in accordance with sweepstakes laws.
Referral Cookie:
A unique tracking cookie placed when a visitor clicks on an Affiliate Tracking Link, valid for 30 days.
Qualified Referred Customer:
A visitor who:
- Clicks through an Affiliate Tracking Link,
- Registers a new customer account with Megaspinz,
- Makes a first eligible purchase meeting the criteria of the current CPA/Rev Share offer,
- Passes all fraud, duplicate, and eligibility checks, and
- Complies with all applicable sweepstakes and platform rules.
Working Day:
A weekday other than a Saturday, Sunday, or U.S. public holiday.
2. Affiliate Enrolment and Approval
Affiliates must submit a complete application via the Megaspinz Affiliate Program portal. Approval is at the sole discretion of the Platform Provider.
We may request additional information to verify ownership of media properties, traffic sources, and identity before approval or payment.
3. Obligations of the Parties
3.1 Platform Provider Obligations
- Operate and maintain the Megaspinz Affiliate tracking platform and reporting dashboard.
- Provide approved creative assets and Affiliate Tracking Links.
- Supply monthly statements summarizing conversions, Qualified Customers, and commissions earned.
- Pay commissions in accordance with Section 6.
3.2 Affiliate Obligations
- Use best efforts to market Megaspinz responsibly and legally.
- Obtain prior written approval for any advertising or creative content that references Megaspinz, its logos, promotions, or brand assets.
- Comply with all applicable U.S. federal, state, and local laws, including sweepstakes, privacy, and marketing regulations.
- Avoid making any misleading or deceptive claims regarding Megaspinz, its offers, or its services.
- Maintain accurate and current contact information.
- Ensure all advertising channels (including websites, email, paid media, and social media) are free of illegal content, hate speech, or adult material unrelated to gaming.
- Refrain from targeting users in restricted jurisdictions or any state where sweepstakes gaming is not permitted.
4. No Agency or Partnership
Nothing in this Agreement creates a joint venture, partnership, or agency relationship. Affiliates act as independent contractors and have no authority to bind the Platform Provider or make representations on its behalf.
5. Commission Structure and Payments
5.1 Payment Models
Affiliates may be offered one or both of the following models:
- CPA Model
- Revenue Share Model
Model type and applicable terms will be confirmed in writing by the Affiliate Manager.
5.2 Minimum Payout Threshold
Minimum payout amount is $500 USD. Earnings below this threshold will roll over to the next payment period.
5.3 Reporting and Payment Timeline
- Monthly reports are issued within our Affiliate Platform
- Affiliates have 7 working days to review and dispute discrepancies.
- Approved invoices are paid within 60 days of receipt.
- Payments are made via Wire or ACH in USD
5.4 Adjustments and Reversals
The Platform Provider reserves the right to adjust commissions where referred users:
- Commit fraud or chargebacks within 365 days of registration,
- Are found to be duplicate or pre-existing users, or
- Fail verification or eligibility checks.
6. PPC and Brand Bidding Restrictions
Affiliates are strictly prohibited from:
- Bidding on or using Megaspinz brand terms (e.g., “Megaspinz”, “Mega Spinz”, “Mega Spins Casino”) or misspellings,
- Using Megaspinz’s trademarks in domain names, social handles, or ad copy,
- Direct linking from paid search to Megaspinz.com.
Violations will result in immediate termination and forfeiture of all outstanding commissions.
7. Intellectual Property
All content, trademarks, logos, and materials related to Megaspinz remain the exclusive property of the Platform Provider.
Affiliates are granted a limited, non-exclusive, revocable license to use approved marketing materials solely for the purpose of this Agreement.
8. Indemnity and Liability
The Affiliate shall indemnify and hold harmless the Platform Provider from all claims, damages, losses, or expenses arising out of the Affiliate’s breach of this Agreement or any applicable law.
The Platform Provider shall not be liable for indirect, incidental, or consequential losses, including lost profits, even if advised of such possibility.
Total liability under this Agreement shall not exceed the total commissions paid to the Affiliate in the twelve (12) months preceding the claim.
9. Termination
9.1 Termination for Convenience
Either party may terminate this Agreement with seven (7) days’ written notice.
9.2 Termination for Cause
Immediate termination may occur if:
- The Affiliate breaches any material term,
- Engages in fraud, brand bidding, or misleading advertising,
- Damages the reputation of Megaspinz or the Platform Provider, or
- Becomes insolvent or bankrupt.
9.3 Post-Termination Obligations
Upon termination, the Affiliate must:
- Remove all Megaspinz links, logos, and content,
- Cease all promotion of Megaspinz immediately,
- Settle any outstanding payments or refunds due.
10. Confidentiality
Affiliates may receive confidential information relating to Megaspinz operations, technology, or data.
This information must be kept strictly confidential and used only for fulfilling obligations under this Agreement.
This clause survives termination.
11. Data Protection
Both parties shall comply with applicable privacy laws, including the California Consumer Privacy Act (CCPA) and other state-level data protection requirements.
Affiliates must not collect or store personal data from Megaspinz users unless expressly authorised.
12. Audit and Compliance Rights
The Platform Provider reserves the right to audit Affiliate traffic sources, ad placements, and promotional materials at any time to ensure compliance.
Failure to cooperate may result in suspension or termination of the account.
13. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Wyoming.
14. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior communications or representations.
No modification or waiver is valid unless made in writing and agreed by both parties.
15. Execution
By registering and participating in the Megaspinz Affiliate Program, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
Electronic acceptance or continued participation constitutes execution of this Agreement.
